Attached to this memorandum are the proposed new statutes of the Company which will be applicable from the effective date of the transfer of the Company’s registered office to the UK, and a schedule providing a comparison between certain key aspects of the legal regime that currently applies to the Company and company law in England and Wales that will apply to the Company when the transfer is effective.
This report has also been filed today with the clerk’s office of the Nancy Companies and Trade Register in accordance with applicable regulatory provisions.
